1. About these terms
These terms form an agreement between PropAtlas Ltd ("PropAtlas") and the company accepting them ("Vendor"). The person accepting confirms they are authorised to bind the Vendor.
2. Our service
PropAtlas lists the Vendor on its marketplace free of charge and forwards introduction requests from buyers who meet our published qualification criteria.
3. Introduction fee
The Vendor pays £80 plus VAT for each qualified buyer introduction forwarded to it. Fees are invoiced monthly and collected by card through Stripe.
4. Refunds
The Vendor may flag an introduction within 14 days if it does not meet the qualification criteria. PropAtlas will refund the introduction fee for any introduction it verifies as unqualified.
5. Success commission
If an Introduced Buyer signs a contract with the Vendor within 12 months of the introduction date, the Vendor pays PropAtlas a commission on the First-Year Contract Value, calculated in marginal bands: 15% of the first £25,000; 12% of the portion from £25,001 to £100,000; 10% of the portion from £100,001 to £250,000; 7.5% of the portion above £250,000. The minimum commission is £500 per signed contract. All amounts are plus VAT.
6. Definitions
"Introduced Buyer" means any organisation whose introduction request PropAtlas forwarded to the Vendor, including its group companies. "First-Year Contract Value" means the software subscription fees payable by the Introduced Buyer in the first 12 months of the contract, excluding implementation and consultancy fees.
7. Reporting
The Vendor must tell PropAtlas within 30 days of an Introduced Buyer signing a contract, stating the First-Year Contract Value. PropAtlas may reasonably request written confirmation of the contract value.
8. Payment of commission
Commission is due within 30 days of the Introduced Buyer paying its first invoice. PropAtlas may charge statutory interest on late payments.
9. Buyer data
The Vendor may use an Introduced Buyer's personal data only to respond to that buyer's enquiry and must comply with UK data protection law. Each party is an independent controller of that data.
10. Featured Placement
If purchased, Featured Placement is billed monthly at the price shown on the pricing page and can be cancelled at any time, taking effect at the end of the billing month.
11. Ending this agreement
Either party may end this agreement at any time by written notice. Fees for introductions already forwarded, and commission on contracts signed within 12 months of an introduction made before the agreement ended, remain payable.
12. Liability
PropAtlas does not guarantee that any introduction will result in a sale. PropAtlas's total liability to the Vendor in any 12-month period is limited to the fees the Vendor paid in that period. Nothing limits liability that cannot be limited by law.
13. Changes
PropAtlas may update these terms by giving 30 days' notice by email. Introductions made before a change remain subject to the terms in force when they were made.
14. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
